Terms & Conditions

Thank you for your interest in CNTXT FZCO ("Shipable," "we," "us," or "our") and our website, www.shipable.ai, as well as any related websites (collectively, the "Site"). These Terms and Conditions ("Terms"), together with our Privacy Policy, govern your access to and use of the Site. Please review these Terms carefully.

These Terms do not govern your use of Shipable’s AI agent builder and SaaS platform (the "Platform"). Those services are governed by our Customer Agreement or SaaS General Terms.

By accessing the Site or clicking “Agree,” you confirm that you have read, understood, and accepted these Terms. If you do not accept them, do not use the Site.

1. Intellectual Property

All rights, title, and interest in and to the Site and its contents—including text, graphics, trademarks, videos, UI/UX, code, and software—are owned by Shipable or its licensors. You may not copy, reverse engineer, or use our materials outside the intended Site experience.

2. Use of Site

You are granted a limited, non-exclusive, revocable license to access and use the Site for informational purposes only. You may not resell, reuse, scrape, or misuse the content.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share or misuse access credentials and accept responsibility for all activities under your account.

4. Use of Submissions

Any ideas, feedback, or content you share through the Site may be used by us in perpetuity for any lawful business purpose. You grant Shipable a royalty-free, irrevocable license to use such content globally.

5. Third-Party Software & APIs

Our Site may link to or use third-party services, including but not limited to:

Google OAuth and APIs (such as Google Photos and Google Workspace APIs)
Calendly, Notion, Slack, and other third-party integrations

By using the Site or Platform, you also agree to the terms of those third-party services.

Use of Google APIs and Limited Use Compliance

If you access our Platform using Google credentials or authorize access to your Google data via APIs (e.g., Gmail, Calendar, Drive, or Photos):

We adhere to Google’s API Services User Data Policy, including the Limited Use requirements.
We do not use Google user data for:
- Advertising
- Building generalized AI models
- Reselling or transferring to third parties (except as required to provide the services)
We only access, use, store, or share Google API data to provide or improve user-facing features clearly described in the product interface and initiated by the user.
We do not allow human access to this data unless (a) we have your affirmative consent, (b) it is necessary for security or compliance, or (c) required by law.

6. Termination

Shipable may revoke your access to the Site or your account at any time for any reason. Upon termination, all rights granted to you are automatically revoked.

7. Disclaimers

The Site and all its content are provided “as is.” We make no warranties regarding accuracy, availability, security, or error-free access. Use at your own risk.

8. Limitation of Liability

To the extent permitted by law, Shipable shall not be liable for indirect or consequential damages arising out of your use of the Site. Our total liability is limited to $500.

9. Indemnification

You agree to indemnify and hold Shipable harmless from any claim resulting from your use of the Site, your content, or your violation of these Terms or applicable law.

10. Governing Law

These Terms shall be governed by the laws of the Abu Dhabi Global Market, United Arab Emirates.
